Endow Technologies Limited ("the Company") and its platforms (the website) www.endowco.com and (the mobile application) EndowPay are dedicated channels for seamless, secure, and stress-free bill payments and digital transactions. These platforms are where the Company engages with the public. The word "Platform" or "Platforms," wherever used in these Terms and Conditions, refers to these services.
Bills such as phone airtime, data subscriptions, education services, electricity bills, cable TV, betting, gift cards, and more are available on these channels. The Company's registered address is 1b Ifeoluwa Daniel Avenue, Gateway Zone, Magodo Phase 1, Lagos, Nigeria.
1.2.
The following are the Terms and Conditions that govern our relationship and the use of our website, mobile application, all relevant APIs, and other related services.
1.3.
By visiting and registering on our website or mobile application, you agree to be bound by these Terms and Conditions and any variation that may become effective from time to time.
1.4.
These Terms and Conditions may be amended from time to time by EndowPay, and we reserve the right to modify the terms or withdraw the platform at any time without recourse or any obligation whatsoever on our part.
1.5.
You agree to provide accurate and true information about yourself and/or your organization.
1.6.
Please read these Terms and Conditions carefully before proceeding with any of the transactions listed on our platforms.
1.7.
You may not use our website or mobile application if you disagree with any part of these Terms and Conditions.
2. RESTRICTIONS
2.1.
Minors or people aged 18 and below are not permitted to use our website, mobile application, or any of the services listed therein.
3. OWNERSHIP OF THE PLATFORM
3.1.
Endow Technologies Limited owns all intellectual property rights in the website, mobile application, and all of the contents therein.
3.2.
All intellectual property rights are hereby reserved. You may view, download, and print pages from the website for personal use, subject to restrictions set out below and elsewhere in our Privacy Policy.
3.3.
The information you provide us shall be processed and used in line with our Privacy Policy.
3.4.
You shall not republish, duplicate, reproduce, copy, redistribute, or exploit in any way any material from this website or mobile application for commercial purposes, except content expressly specified for redistribution like our newsletter. In the case of our newsletter, redistribution may only occur within your respective organizations with our express permission.
4. CONTENT BY USERS
4.1.
You may post content, but you are entirely responsible for the legality, reliability, and appropriateness of such content posted by you.
4.2.
When content is posted on our services, you grant us the right to use such content in any desirable manner. You retain all rights to your content and are solely responsible for protecting your rights.

5. ACCEPTABLE USE POLICY
Our platform shall not be used in any manner contrary to the objectives for which it was set up, including but not limited to the following:
- i.Uses considered contrary to any domestic or international law or public policy.
- ii.Uses considered fraudulent under applicable laws.
- iii.Distribution of spam, viruses, malware, or any other harmful technologies.
- iv.Uses considered malicious, derogatory, or inciting hatred towards others.
- v.Undertaking unsolicited advertising.
- vi.Unauthorized use of trademarks or logos from this platform without our express written consent.
6. INDEMNITY
6.1.
You hereby agree to indemnify EndowPay and its Directors, Officers, Employees, and Agents from any claims, liabilities, damages, losses, and expenses, including but not limited to legal fees, arising from your breach of this agreement or any applicable laws or regulations.
6.2.
This indemnity applies to all liabilities, both civil and criminal, including judgment debts, awards, damages, or settlements that may be awarded against EndowPay.
6.3.
This indemnity shall be governed in accordance with the laws of the Federal Republic of Nigeria.
7. LAW AND JURISDICTION / DISPUTE RESOLUTION
7.1.
These Terms and Conditions shall be governed by Nigerian Law.
7.2.
We shall use best endeavors to settle any dispute arising from these Terms and Conditions amicably through mutual discussion.
7.3.
Any dispute arising from the use of this platform that cannot be mutually resolved within 30 days of written notification shall be referred to a Sole Arbitrator mutually appointed by both parties. If no agreement is reached within 14 days, application shall be made to the Chairman of the Chartered Institute of Arbitrators (Nigeria).
7.4.
Any dispute shall be resolved exclusively under the Arbitration Rules of the Arbitration and Conciliation Act, Cap. A18, Laws of the Federation of Nigeria 2004 (or any amendments).
7.5.
The Arbitration Seat shall be Lagos, Nigeria.
9. FAILED TRANSACTIONS
9.1.
Our platform shall complete all logged transactions in real time. In the event of a failed transaction where a user has been debited but value not been received, please contact us through our in-app support. Provide your phone number, transaction amount, transaction date, type, and other details. All logged issues will be resolved promptly.
10. LIMITATION OF LIABILITY
10.1.
EndowPay, its Directors, Officers, Employees, and Agents shall not be liable for any damages—special, indirect, incidental, or consequential—including but not limited to loss of business profits or information, arising from the use or inability to use our website or mobile application.
10.2.
These limitations apply notwithstanding any breach of fundamental terms and conditions.
11. DISCLAIMER
11.1.
All services provided on our platforms are provided on an "as is" basis, without express, implied, or statutory warranties, including but not limited to merchantability, fitness for purpose, title, or non-infringement. EndowPay makes no guarantee that our website or application will be error-free, secure, uninterrupted, or timely.
11.2.
No advice or information obtained from EndowPay or its officers shall create any warranty beyond those stated above.
12. SEVERABILITY
12.1.
If any provision of these Terms and Conditions is found to be illegal, invalid, or unenforceable in whole or in part, such provision shall be severed, and the remainder shall remain valid and enforceable.
13. OUR TOTAL AGREEMENT
13.1.
These Terms and Conditions govern our relationship with all users, whether casual visitors or clients. They shall be read together with the EndowPay Privacy Policy, and together constitute the total agreement between you and EndowPay.
14. ASSIGNMENT
14.1.
Neither the Company (Endow Technologies Limited) nor you may assign any or all obligations under these Terms without the prior written consent of the other party.
15. VARIATION OF TERMS
15.1.
EndowPay reserves the right to modify or replace these Terms and Conditions at our sole discretion, and at any time without prior notice.
15.2.
By continuing to access our website or use our services after revisions become effective, you agree to be bound by the revised terms. If you do not agree, you should stop using our services immediately.
